Vila terms of service

Effective date: 2026-09-11 · vila@allgood.living

This English text is provided for convenience. The Chinese version governs if the two differ.

Usage packs and monthly plans are available through Settings → AI credits in Vila 1.4.0, subject to the availability shown for your account. Existing Pro / Pro Voice subscriptions retain their original terms.

These terms form an agreement between you and the provider of Vila ("we", "us") regarding the Vila browser extension and related services ("the Service"). By installing or using the Service, or by purchasing a subscription, you accept these terms. If you do not accept them, do not use the Service.

These terms should be read together with the Vila privacy policy, pricing and plans and refund policy.

0. Service provider

The Service is currently developed and operated independently by Harvey, an individual developer, at vila@allgood.living.

Subscriptions are processed by a third-party payment provider acting as merchant of record, which is the legal seller of that transaction and is responsible for collecting payment, collecting and remitting taxes and issuing receipts. These terms govern your use of the Service; the transaction itself is additionally governed by that payment provider's terms.

We may in future move operation of the Service to a company incorporated under the laws of the State of Delaware, USA. Rights and obligations under these terms would transfer to that entity, and we would announce the change through an in-extension notice or on this page before it takes effect. Such a change of entity does not alter the price, billing period or included allowance of a subscription you have already purchased.

1. About the Service

Core subtitles, word lookup, saving, review and draft editing are free without an account. Optional managed AI uses OpenAI for text assistance and speaking practice, with sign-in, content-processing consent and valid access. Vila does not host, store or redistribute YouTube videos.

2. Accounts

A subscription requires signing in with a Google account. Signing in does not by itself enable learning-data sync; data within the scope described in the privacy policy is synced only after you separately consent and turn sync on. You are responsible for activity under your account and for the security of your sign-in credentials. If you discover unauthorized use, contact us promptly at the address above.

We do not offer subscriptions to individuals below the local age of majority who cannot independently enter into a contract.

AI packs, monthly plans and credits

The introductory pack costs US$1.99 for 100 credits and is limited to the first paid purchase per account. Regular packs cost US$4.99/100, US$9.99/300 and US$19.99/800 credits. Packs are one-time purchases, valid for 12 months after allocation. Standard costs US$9.99/month for 400 credits; Plus costs US$19.99/month for 900. Monthly plans are prepaid and renew automatically unless canceled. Each monthly allocation expires at the end of its Paddle billing month, without rollover. Canceling renewal does not clear unexpired credits early. No new annual plans or plan changes are offered. Existing Pro / Pro Voice contracts are honored under their original terms, without automatic conversion to credits.

For transactions completed through Paddle, Paddle acts as merchant of record for payment, taxes and invoicing, and its buyer terms apply. Your payment method information is handled by the payment provider; we neither receive nor store full payment card details.

Whether displayed prices include tax is determined at checkout. Tax changes arising from the rates or regulations of your region may be reflected in renewal amounts.

AI packs, monthly plans and credits

Credits measure personal use of Vila AI. They are not cash and cannot be transferred or withdrawn. Text and speaking share a balance, spending the earliest-expiring allocation first. Text uses server-confirmed model usage; speaking uses confirmed connection time, including both learner and coach, excluding pauses, disconnections and connection setup. Insufficient credits block new requests or stop the active voice connection without automatic overage charges. Previously saved local learning data remains available.

Vila currently uses OpenAI. Changes in tasks, models or API prices may make the same task consume more or fewer credits. New rates and their effective date are announced in the extension or on the pricing page before taking effect. Balance quantities do not change and completed usage is not recalculated. If you disagree, stop new usage, cancel renewal and contact support under the applicable refund policy; this is not an unconditional refund promise. Estimates do not guarantee fixed request counts or minutes. Concurrency, input and service-wide cost limits may temporarily block new requests.

Active courses are held in temporary server memory. A restart may require preparing the course again. Unconfirmed interruption time is not charged, and reports saved locally remain available.

5. Cancellation and refunds

Packs do not renew. Cancel future monthly renewals in Paddle; unexpired credits remain until the original billing-period end, with no rollover. Cancellation does not automatically refund payment. Refund eligibility and deadlines follow Paddle policy and applicable law. Historical prorated billing credits for old plans are not automatically returned to a bank card.

An approved refund or chargeback reclaims the original credits for that order multiplied by the refunded amount divided by the original total paid, rounded up to 0.0001 credit and capped cumulatively at the original allocation. Only that batch is adjusted; expiry is unchanged. Pending or duplicate adjustments do not reclaim credits. If too many credits in that batch were already spent, wallet use pauses for support review rather than taking credits from other orders. Refunds do not restore introductory eligibility or automatically cancel future renewals.

Refund policy

6. Acceptable use

When using the Service, you must not:

  • resell, sublease or share an account, or use the hosted AI allowance for anything other than your own language learning;
  • call hosted AI in bulk by automated means, or crawl or scrape the results the Service generates;
  • circumvent or attempt to circumvent allowance, rate, concurrency or input limits;
  • reverse engineer the Service's server interfaces, or access hosted endpoints with a modified client;
  • use the Service to infringe others' intellectual property, generate unlawful content, or violate the usage policies of the model providers involved;
  • place an unreasonable load or security risk on the Service or the third-party services it depends on.

If we detect such conduct, we may restrict or suspend hosted AI without prior notice, and terminate the subscription in serious cases. Any related refund is still handled under the policy in section 5 and applicable law.

7. Your content

Subtitle text, words, sentences and practice transcripts you submit while using the Service remain owned by you or the original rights holder. To deliver the features you actively request, you grant us a licence to process and transmit that content to the model provider you selected, to the extent necessary. That licence exists only to provide the Service; it is not used to train our own models and not used for advertising. See the privacy policy for how the processing works.

8. Third-party services

The Service depends on Google Firebase, the model providers you or we select (OpenAI, Google Gemini) and a payment provider. These are operated by their respective providers under their own terms and policies. Their interruption, change, rate limiting or termination may affect the availability of the Service, and we accept no liability for that beyond these terms.

9. Service availability

The Service is provided "as is" and "as available", without warranty of any kind, express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not promise that the Service will be uninterrupted or error-free, nor that AI-generated translations, explanations, evaluations or practice content will be accurate. AI output is for study reference only and does not constitute professional advice.

We do not offer a service level agreement (SLA) for the Service. Both planned maintenance and unforeseen interruptions may occur.

10. Limitation of liability

To the maximum extent permitted by applicable law, we are not liable for any indirect, incidental, special, punitive or consequential loss, including loss of data, loss of profit or loss of learning progress. In no event will our aggregate liability under these terms exceed the amount you actually paid us in the twelve months preceding the event giving rise to the claim.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain liabilities; in those jurisdictions the above limitations apply to the maximum extent permitted by law.

11. Changes

We may revise these terms. Material changes will be announced through an in-extension notice or on this page before taking effect, and the effective date will be updated. Changes do not apply retroactively to billing periods that have already occurred. If you do not accept a change, cancel your subscription and stop using the Service before it takes effect.

12. Termination

You may stop using the Service and uninstall the extension at any time. We may suspend or terminate your account and subscription if you materially breach these terms, or where necessary to comply with the law and protect security. After termination you can export or delete account data as described in the privacy policy. Provisions that by their nature should survive (including sections 7, 9, 10 and 13) continue in effect after termination.

13. Governing law and disputes

These terms are governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules and excluding the United Nations Convention on Contracts for the International Sale of Goods. Delaware law is chosen for consistency with the operating entity the Service plans to establish (see section 0).

This section does not diminish your statutory consumer rights. If you use the Service as a consumer, the rights and remedies granted to you by the mandatory consumer protection laws of your country, state or province still apply and prevail where they conflict with this section.

Talk to us first. If a dispute arises, contact us at vila@allgood.living and describe the problem and the resolution you want. We will respond within 30 days of receipt. The great majority of issues — billing and refunds especially — are resolved at this step.

Then litigation. Disputes not resolved by negotiation are subject to the jurisdiction of the Delaware state courts or the United States federal courts located in Delaware; both parties consent to that jurisdiction and waive any objection based on inconvenient forum. This does not limit your ability to bring a claim in the small claims court where you live, for disputes within that court's jurisdiction.

Disputes about payment, refunds, taxes or invoices should normally be raised with the merchant of record first, because it, and not we, is the seller of that transaction.

This section contains no mandatory arbitration clause and no class action waiver. Both are subject to strict enforceability review in the United States, and a poorly drafted clause can fail entirely and create additional risk, so neither is adopted before professional advice is obtained.
